PhD Service Agreement
This PhD Consulting Service Agreement (“Agreement”) is executed on the date of the Client’s enrollment (“Effective Date”) by and between:
Ambitio Technologies Private Limited, having its registered office at A-003, Rudra Enclave – II, Khodana Kala, Gautam Buddha Nagar, Noida, Uttar Pradesh, India, 203207 and operating under the brand Ambitio.club (“Company/Ambitio”),
and
the enrolled student whose details are captured at the time of enrollment (“Client”).
The Company and the Client are collectively referred to as the “Parties”.
1. Services
1.1 The Company will provide consulting and advisory services for PhD admissions, including admissions strategy, shortlisting guidance, document review/editing and feedback, outreach guidance, and interview preparation, strictly as per the package purchased by the Client (“Services”).
1.2 The Services are advisory in nature. The Company does not act as a university, admissions committee, scholarship authority, research lab, or visa authority.
2. Scope Limits and Responsibilities
2.1 What the Company Will Do:
Subject to the package purchased by the Client, the Company may:
2.1.1 provide guidance and pre-submission support for applications, including checklists, document review, and submission readiness review (the final portal submission remains the Client’s responsibility);
2.1.2 provide outreach support in the form of strategy, templates, and drafting guidance for emails that the Client will send from the Client’s own email account;
2.1.3 provide document support such as review, editing, feedback, and improvement suggestions for SOPs, CVs, essays, and related materials;
2.1.4 provide Letters of Recommendation support limited to structure, talking points, formatting guidance, and review of drafts shared by the Client or recommender; and
2.1.5 share general process guidance for admissions, scholarships, and visa-related documentation based on publicly available information, where relevant.
2.2 What the Company Will Not Do:
Unless specifically agreed in writing, the Company will not:
2.2.1 submit applications on the Client’s behalf or access/operate university portals using the Client’s login credentials;
2.2.2 contact universities, professors, labs, or supervisors while presenting itself as the Client, or represent the Client in official correspondence;
2.2.3 create, alter, misrepresent, or fabricate any credentials, publications, work experience, grades, test scores, or other factual information;
2.2.4 write Letters of Recommendation on behalf of recommenders;
2.2.5 make payments on the Client’s behalf for any third-party costs, including application fees, tests, credential evaluations, couriers, or related charges; or
2.2.6 provide legal, immigration, or tax advice, or coordinate directly with embassies/consulates for appointments.
3. Package Deliverables
3.1 The Client is entitled only to the deliverables included in the purchased package/tier as listed in Schedule A.
3.2 Any additional applications, additional proposals, extra mock interviews, or upgrades are chargeable and will be delivered only after payment and confirmation by the Company.
4. Client Responsibilities
4.1 The Client will provide accurate and complete information and supporting documents required for the Services.
4.2 The Client will provide initial drafts/material for SOPs, CV, essays, and related documents for review and editing (unless the purchased package explicitly includes drafting support).
4.3 The Client is solely responsible for:
(a) creating accounts, filling forms, uploading documents, and submitting applications. The Company may support through guidance, checklists, and pre-submission reviews as per the package.
(b) paying all application fees and third-party charges directly;
(c) tracking university deadlines and requirements;
(d) sending outreach emails to professors/PIs and managing replies; and
(e) maintaining timely communication with the Company.
4.4 The Company will not be responsible for missed deadlines or negative outcomes caused by Client delays, incomplete inputs, or inaccurate information.
5. Important Note on Outcomes and External Processes
5.1 The Client understands and agrees that the Company does not guarantee:
(a) admission to any university, PhD program, lab, or research group;
(b) funding, scholarships, fellowships, fee waivers or any other financial aid;
(c) responses from professors/PIs/supervisors; or
(d) visa approval or immigration outcomes.
5.2 All admission and funding decisions are made solely by third parties (universities, labs, professors, scholarship bodies, and/or visa authorities).
6. Fees and Refunds
6.1 Fees are as per the selected package and are exclusive of GST unless stated otherwise.
6.2 The Client acknowledges that the Company allocates resources immediately upon enrollment (expert assignment, editor allocation, internal scheduling and tool access).
6.3 The Client acknowledges that the Company maintains a detailed refund and cancellation policy published on its official website (currently available at https://ambitio.club/refund-policy/) .The said Refund Policy forms an integral part of this Agreement and is incorporated herein by reference.
6.4 Refunds, if any, shall be governed strictly in accordance with the Refund Policy in force on the Effective Date. Except as expressly provided under the Refund Policy, fees paid under this Agreement are non-refundable and non-transferable once Services have commenced.
6.5 For the purposes of this Agreement, “commencement of Services” includes, without limitation, onboarding, allocation of experts or editors, any review or edit cycle, profile shortlisting, strategy sessions, outreach guidance, or release of templates, materials, or frameworks.
6.5A Notwithstanding Clause 6.5, refund eligibility shall be determined strictly in accordance with the Refund Policy in force on the Effective Date, which shall prevail in case of any inconsistency.
6.6 The Client expressly agrees that:
(a) admission outcomes, funding decisions, non-responses, rejections, delays, or changes in university policies shall not constitute a deficiency of service; and
(b) dissatisfaction with outcomes, partial utilization of Services, or change of intent shall not entitle the Client to any refund except as expressly permitted under the Refund Policy.
7. Timelines and Delivery
7.1 The Company will make efforts to deliver within the turnaround timelines communicated during onboarding.
7.2 Delivery timelines may change based on Client responsiveness, intake deadlines, scope changes, and revision volume.
8. Term and Validity
8.1 This Agreement is valid only for one admissions intake cycle communicated at enrollment (e.g., Fall 2025).
8.2 The Services conclude on the earlier of:
(a) completion of the number of applications included in the purchased package, or
(b) the end of the intake cycle.
8.3 Any extension beyond the intake cycle is at the Company’s discretion and may require additional fees.
9. Confidentiality
9.1 Each Party shall keep confidential all non-public information received from the other Party in connection with the Services.
9.2 The Company may share the Client’s information with its internal team/assigned experts strictly for providing the Services.
9.3 This clause does not apply to information required to be disclosed by law or already publicly available without breach.
10. Intellectual Property
10.1 The Client retains ownership of their personal data and original content.
10.2 The Company retains ownership of its templates, frameworks, methods, and training materials.
10.3 The Client may use them only for their own applications and may not share or resell them.
11. Force Majeure
The Company will not be liable for delay or failure caused by events beyond its reasonable control, including changes in university processes, policy changes, portal downtime, government actions, strikes, or natural events.
12. Limitation of Liability
The Company’s liability, if any, will be limited to the fee actually paid by the Client for the purchased package. The Company will not be liable for indirect or consequential loss.
13. Governing Law and Jurisdiction
This Agreement will be governed by the laws of India. Courts at Noida, Uttar Pradesh shall have exclusive jurisdiction.
Schedule A — Package Summary
Definition: “1 application” means one university portal submission for one program (including document review and checklist support). If the Client applies to multiple programs within the same university, each program counts as a separate application.
